These Terms of Service ("Terms") govern your use of the RideMesh mobile application and related services (collectively, the "Service") operated by RideMesh ("we", "us", or "our"). By clicking "I agree", creating an account, signing in, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. This constitutes a valid electronic contract between you and RideMesh under the Information Technology Act, 2000 (specifically Section 10A), and the Indian Contract Act, 1872. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to create an account and enter into these Terms, in accordance with the Indian Contract Act, 1872. Users between 13 and 17 years of age may access the Service only with verifiable consent from a parent or legal guardian, in accordance with the Digital Personal Data Protection Act, 2023 ("DPDPA"); in such cases, the parent or guardian is the contracting party and is responsible for the minor's use of the Service. Users under 13 may not use the Service.

If you use the Service in connection with motor-vehicle rides, you must hold a valid driving licence under the Motor Vehicles Act, 1988 and comply with all applicable laws — including helmet rules, traffic laws, and any state-specific regulations. You are solely responsible for confirming you meet all such requirements.

3. What RideMesh Does

RideMesh is a group-ride coordination tool that provides: ride planning, real-time location sharing between riders in the same group, group chat, push-to-talk and 1-to-1 voice calls, manual SOS alerts, accelerometer-based crash detection, and post-ride summaries. We continuously improve the Service and may add, modify, or remove features.

RideMesh is an aid, not a substitute for safe riding. You are responsible for your own safety, the condition and legality of your vehicle, compliance with traffic laws, and use of appropriate safety gear (helmet, protective clothing, and any equipment mandated by law).

4. Safety Disclaimer

Motorcycle, bicycle, and group-ride activities carry inherent risks including serious injury or death. You acknowledge and accept these risks. RideMesh does not guarantee:

RideMesh is not affiliated with, nor a substitute for, any government or emergency-services agency. The Service is not designed or intended for professional use in racing, commercial touring, fleet management, emergency dispatch, insurance claims processing, or any other professional or mission-critical context. Do not rely solely on RideMesh for life-critical communication. In an emergency, call 112 (India's national emergency number) or your local emergency services directly.

6. User Content

You retain ownership of content you submit to RideMesh (ride names, chat messages, emergency contact details, profile photos, and similar). By submitting content, you grant us a non-exclusive, worldwide, royalty-free licence to store, display, and transmit that content solely to operate and improve the Service. You are responsible for ensuring your content does not violate any law or third-party right, and you represent that you have all necessary rights to grant this licence.

Your use of the Service is also governed by our Privacy Policy, which explains what data we collect, how we use it, and your rights under the Digital Personal Data Protection Act, 2023 ("DPDPA") and the Information Technology Act, 2000, together with the rules and regulations thereunder.

8. Third-Party Services

RideMesh integrates third-party services including Amazon Web Services (hosting, authentication, SMS), Google Maps (maps and routing), Google Sign-In (federated authentication), LiveKit (voice audio), PostHog (analytics), and Sentry (error reporting). Your use of features that depend on these services is also subject to the respective third-party terms. We are not responsible for the acts or omissions of any third-party provider.

9. Fees and Refunds

RideMesh is currently free to use. We may introduce paid plans or features in the future and will provide reasonable advance notice before any existing feature becomes paid-only. We will not charge you without your explicit consent.

All fees paid for optional paid plans or features are non-refundable once the service has been provided, except as required by applicable law (including the Consumer Protection Act, 2019). Refund requests for clear billing errors or statutorily refundable situations may be submitted to hello.ridemesh@gmail.com.

10. Intellectual Property

The "RideMesh" name, the RideMesh mesh-network logo, the tagline "Stay Meshed. Ride Together.", the Service's source code, design, content, and all related marks are owned by us and are protected by copyright, trademark, and other applicable laws. These Terms do not transfer any intellectual-property rights to you. You receive only a limited, personal, non-transferable, revocable licence to use the Service in accordance with these Terms. Any feedback, suggestions, or ideas you provide to us may be used by us without any obligation to you.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. We do not warrant that the Service will be error-free or that defects will be corrected. Your use of the Service is at your own risk.

12. Limitation of Liability

To the maximum extent permitted by applicable law, RideMesh, its affiliates, officers, employees, and contributors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising from or related to your use of the Service — including but not limited to accidents, personal injury, death, lost rides, missed rendezvous, failed SOS delivery, or any real-world incident occurring while using the Service.

Subject to the carve-outs in the next paragraph, our aggregate liability for any claim arising out of these Terms or the Service shall not exceed the greater of (a) ₹10,000 (ten thousand Indian rupees), or (b) the total fees (if any) that you have paid to us in the twelve (12) months preceding the event giving rise to the claim.

Carve-outs. The cap above does not apply to, and nothing in these Terms limits or excludes: (i) liability arising from our gross negligence, fraud, or willful misconduct; (ii) liability for death or personal injury to the extent caused by our negligence where applicable law does not permit such exclusion; (iii) your statutory rights as a consumer under the Consumer Protection Act, 2019 or any other mandatory law that cannot be waived by contract; or (iv) any other liability that cannot be limited or excluded under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless RideMesh and its affiliates from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms, your user content, your use of the Service, or your violation of any law or third-party right. Nothing in this section limits your statutory rights as a consumer under applicable law.

14. Force Majeure

Neither party shall be liable for any failure or delay in performance of its obligations under these Terms (other than payment obligations) arising from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, strikes, government actions or orders, power outages, internet or telecommunications failures, or failures of third-party service providers. The affected party shall use reasonable efforts to resume performance as soon as reasonably practicable.

15. Termination

You may stop using the Service and delete your account at any time by contacting hello.ridemesh@gmail.com. Before your data is deleted, you may request a copy of your personal data in a commonly used format, in accordance with the DPDPA.

We may suspend or terminate your account: (a) immediately, without notice, if you have materially breached these Terms (including the Acceptable Use provisions), or if suspension is required by law or to protect other users; or (b) otherwise, upon at least seven (7) days' prior notice by email. On termination, your right to use the Service ends immediately; sections that by their nature should survive (including sections 10, 11, 12, 13, 14, 17, 18, and 19) will survive.

16. Changes to These Terms

We may update these Terms from time to time. For material changes (such as changes to fees, liability, or user rights), we will notify you via the app or email and, where appropriate, seek your affirmative consent before the updated Terms take effect for you. For non-material changes, continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the Service.

17. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles. Subject to any mandatory consumer-protection laws that cannot be contractually waived, any dispute arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts located in Bengaluru, Karnataka, India.

In compliance with the Information Technology Act, 2000 and Rule 3(11) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, RideMesh has appointed the following Grievance Officer to address complaints regarding content, account issues, privacy, or any other matter relating to the Service:

19. Miscellaneous

Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

No waiver. Our failure to enforce any provision is not a waiver of that provision or of any other right.

Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms without restriction, including in connection with any merger, acquisition, corporate restructuring, or sale of assets; your rights and obligations will continue with the assignee.

Notices. We may serve legal and operational notices on you by email to the address associated with your account, or by in-app notice. You may serve legal notices on us by email to hello.ridemesh@gmail.com.

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and RideMesh regarding the Service and supersede any prior agreements on the same subject matter.
